Terms & Conditions

Welcome to Finyatra Private Limited (“Finyatra”, “Company”, “we”, “us” or “our”). These Terms & Conditions (“Terms”) constitute an electronic agreement governing your access to and use of Finyatra's website, mobile application, merchant portal, APIs and other platforms, products and services provided or facilitated by Finyatra (“Platform” or “Services”).

For the purpose of these Terms, “User”, “you” or “your” may include customers, retailers, distributors, merchants, agents, API partners, business associates or any other person or entity accessing or using the Platform.

By registering, accessing or using Finyatra's Platform or Services, you acknowledge that you have read, understood and agreed to these Terms, our Privacy Policy and other applicable policies. If you do not agree with these Terms, you should not access or use the Services.

Acceptance of Terms

Your use of the Platform is governed by these Terms and other policies, rules or guidelines applicable to the Services used by you. By creating an account, accepting these Terms electronically or continuing to use the Platform, you agree to be legally bound by them.

Finyatra may modify or update these Terms from time to time to reflect changes in Services, technology, business requirements, partner requirements or applicable laws. The latest version will be made available through the Platform or Website.

Eligibility

You must be legally competent to enter into a binding agreement and meet the eligibility requirements applicable to the Service being used. Where an individual is independently registering for business or financial Services, the User should ordinarily be at least 18 years of age.

If you are registering or using the Platform on behalf of a company, firm or other organisation, you confirm that you have the necessary authority to act on behalf of and bind that entity.

You must comply with applicable laws and maintain all registrations, permissions or licences required for your business activities.

Account Registration and Security

To access certain Services, you may be required to create an account and provide information including your mobile number, email address, KYC details, business information and other required documents.

All information provided must be true, accurate, complete and current. If any information or document is found to be false, misleading, forged, incomplete or unverifiable, Finyatra may restrict, suspend or terminate the Account or relevant Service.

You are responsible for maintaining the confidentiality of your User ID, Password, MPIN, OTP and other Account credentials and for activities performed through your authorised Account, subject to investigation in cases of reported unauthorised access.

Any suspected unauthorised access or misuse should be reported to Finyatra without unreasonable delay.

Scope of Services

Finyatra may provide or facilitate financial and assisted digital Services including AEPS, Micro ATM, Domestic Money Transfer (DMT), BBPS, Recharge, FASTag, Credit Card Bill Payment, Payment Gateway Services, UPI Services, Payout, Settlement, PAN Services and other Services introduced from time to time.

Certain Services are facilitated through Banks, NPCI ecosystem participants, Payment Aggregators, Billers, Financial Institutions, Technology Providers or other authorised Service Partners (“Service Providers”).

Accordingly, Service availability, transaction limits, settlement timelines, refunds, reversals and processing may also be subject to the rules and systems of the concerned Service Provider.

Finyatra may add, modify, restrict, temporarily discontinue or permanently discontinue any Service where reasonably required due to business, technical, partner, security or regulatory requirements.

KYC and Due Diligence

Before enabling any Service, Finyatra may require Users, Retailers, Distributors, Merchants or Business Partners to provide KYC, business and other documents necessary for due diligence.

You agree to provide accurate documents and information requested for KYC, AML, fraud prevention, risk assessment and regulatory compliance.

Where necessary for providing a Service or complying with applicable requirements, Finyatra may process or share required KYC and business information with concerned Banks, Financial Institutions, Service Providers or competent Government/Regulatory Authorities in accordance with applicable law.

Finyatra may request additional documents, verification or clarification at any time where reasonably required for compliance or risk-management purposes.

Transactions

Before initiating a Transaction, the User must verify all details including beneficiary name, bank account number, IFSC, mobile number, biller details, amount and other relevant information.

Transactions submitted with incorrect information provided by the User may not be reversible after successful processing.

A Transaction may be Successful, Failed, Pending, Initiated or Reversed depending upon the response received from the concerned Bank or Service Provider. Transaction status may subsequently change following reconciliation or final confirmation from the concerned partner.

Where a Transaction fails after the amount has been debited, refund or reversal shall be processed according to the applicable Service Provider's confirmation, reconciliation process and applicable rules.

Settlement, Wallet and Ledger

Transactions and settlements shall be processed according to the applicable Service and Service Provider arrangements.

Where Finyatra provides a Wallet, ODS, Ledger or Settlement Account, the displayed balance may be affected by Transactions, Settlements, Refunds, Reversals, Chargebacks, Commissions, Taxes, Fees and other authorised adjustments.

Finyatra may temporarily hold, adjust or restrict a Settlement where a Transaction is under Chargeback, Dispute, Fraud Investigation, Risk Review or Regulatory Review, or where such action is requested by a Bank, Service Provider or competent authority.

Settlement timelines may be affected by Bank holidays, Partner downtime, reconciliation, technical issues, risk reviews or other circumstances beyond Finyatra's reasonable control.

Charges, Commission and Taxes

Finyatra may charge Transaction Fees, Service Charges, Convenience Fees or other applicable charges depending upon the Service.

Retailers, Distributors, Merchants or other Business Associates may receive commissions or incentives according to their applicable commercial arrangement.

Charges, commissions and commercial terms may be revised from time to time due to business, Bank, Partner or regulatory requirements. Applicable GST, TDS or other statutory taxes/deductions shall be applied according to applicable laws.

Retailer, Distributor and Merchant Obligations

Retailers, Distributors, Merchants, Agents and Business Partners shall use the Services only for genuine and lawful business activities and in accordance with applicable laws and instructions issued by Finyatra or concerned Service Providers.

Users shall not allow unauthorised third parties to use their Account or Services and shall not resell, transfer or misuse a Service unless expressly authorised by Finyatra.

Where Customer Information is required for a Transaction, the concerned Retailer/Merchant must ensure that such information has been lawfully obtained and is used only for the authorised purpose.

Customer KYC, Aadhaar-related information, Bank Details, OTP, PIN, MPIN, CVV or other confidential information must not be copied, stored, disclosed or misused except where specifically permitted and necessary under applicable law and authorised processes.

Monitoring, Verification and Audit

For security, compliance, fraud prevention and Service management, Finyatra may monitor Account and Transaction activities conducted through its Platform.

Finyatra may also seek additional information or supporting documents relating to Transactions, KYC, business activities or Services used through the Platform.

Retailers, Distributors, Merchants and Business Partners agree to reasonably cooperate with compliance reviews, investigations or audits conducted by Finyatra, its authorised representatives or relevant Service Providers where such review is required in connection with the Services.

If any information, document or Transaction is found to be false, fraudulent, suspicious or inconsistent with applicable requirements, Finyatra may take appropriate action including restricting or suspending Services.

Prohibited Activities

The Platform and Services must not be used for any illegal, fraudulent, misleading or unauthorised purpose.

Users shall not use fake or forged documents, impersonate another person, conduct fraudulent Transactions, misuse Customer Information, facilitate money laundering, manipulate Transactions, attempt unauthorised access to the Platform, introduce malicious code or interfere with the security or functioning of Finyatra's systems.

Users shall also not use Finyatra's name, logo, Services or Platform in a misleading or unauthorised manner or make false representations regarding their relationship with Finyatra, Banks or Service Providers.

Finyatra may restrict, suspend or terminate Services where prohibited or suspicious activity is identified and may share relevant information with Banks, Service Providers, Regulators or Law-Enforcement Authorities where required under applicable law.

Customer Disputes and Chargebacks

Retailers and Merchants are responsible for providing genuine Services and maintaining appropriate records relating to Transactions initiated through their Accounts.

Where a Customer raises a dispute, Chargeback, Cyber Complaint, Bank Complaint or other Transaction-related claim, the User may be required to provide Transaction records, invoices, consent, KYC or other supporting documents within the prescribed time.

Finyatra may temporarily hold or adjust relevant funds while such dispute or investigation remains pending, subject to applicable Bank, Partner and regulatory requirements.

Any final debit, reversal or adjustment arising from a valid Chargeback or dispute may be recovered from the concerned Retailer, Merchant or Business Partner where such liability is attributable to that User under the applicable Service arrangement and law.

Third-Party Services

Finyatra may depend upon Banks, NPCI ecosystem participants, Payment Aggregators, Billers, Financial Institutions, Technology Providers and other authorised third parties for providing Services.

Finyatra does not control the independent infrastructure, systems or policies of such third parties. Service interruptions, Bank downtime, network failures, delayed responses or other third-party issues may therefore affect Transactions or Services.

Use of a particular third-party Service may additionally be subject to the applicable terms, limits and regulatory requirements of that Service Provider.

Intellectual Property

All rights, title and interest in Finyatra's Website, Application, Software, APIs, Logo, Brand Name, Platform Design, Content and other intellectual property are owned by or lawfully licensed to Finyatra.

Users receive only a limited, non-exclusive, non-transferable and revocable right to access the Platform for authorised use.

No User may copy, reproduce, modify, distribute, reverse engineer, commercially exploit or use Finyatra's intellectual property without appropriate written authorisation.

Privacy and Data Protection

Personal, KYC, Technical and Transaction Information collected or processed through the Platform shall be handled in accordance with Finyatra's Privacy Policy and applicable laws.

Users acknowledge that necessary information may be processed or shared with Banks, Service Providers or competent authorities for Transaction Processing, KYC, Compliance, Fraud Prevention, Security, Investigation or other lawful purposes.

Disclaimer

Finyatra endeavours to provide Services in accordance with applicable Service arrangements; however, Services may be provided on an “as available” basis depending upon the relevant technology and Service Provider.

Finyatra does not guarantee that every Service will always remain uninterrupted, error-free or continuously available.

Finyatra shall not be responsible for a Transaction failure or delay solely caused by Bank downtime, Service Provider failure, telecom/network interruption, incorrect information supplied by the User, unauthorised use attributable to failure to protect User credentials or circumstances beyond Finyatra's reasonable control, subject always to applicable law.

Limitation of Liability

To the maximum extent permitted by applicable law, Finyatra shall not be liable for indirect, incidental or consequential losses arising solely from the use or inability to use the Platform or from circumstances beyond Finyatra's reasonable control.

Nothing contained in these Terms shall exclude or restrict any liability or statutory right which cannot lawfully be excluded or restricted.

Indemnity

To the extent permitted by applicable law, the User agrees to indemnify and hold Finyatra, its Directors, Employees and authorised representatives harmless against losses, claims, penalties, costs or expenses arising from the User's fraud, wilful misconduct, forged documents, misuse of the Services, breach of these Terms, infringement of third-party rights or violation of applicable law.

This provision may continue to apply to relevant matters arising during the period in which the User used the Services even after termination of the Account.

Suspension and Termination

These Terms shall remain applicable while you access the Platform, maintain an Account or use Finyatra's Services.

Finyatra may temporarily or permanently restrict, suspend or terminate an Account or Service where the User violates these Terms, fails KYC or compliance requirements, provides false or forged information, engages in suspicious or fraudulent activity, fails to discharge applicable Transaction liabilities or where such action is required by a Bank, Service Provider, Regulator, Court or other competent authority.

Termination of an Account shall not automatically extinguish any outstanding Settlement, Chargeback, Refund, Tax, Fee or other lawful obligation arising before termination.

Force Majeure

Neither Finyatra nor the User shall be responsible for failure or delay caused by circumstances beyond reasonable control, including natural disasters, fire, flood, epidemic, war, civil disturbance, Government action, telecommunications failure, major infrastructure failure, Bank or Payment Network outage or other similar events.

Severability and Waiver

If any provision of these Terms is held to be invalid, unlawful or unenforceable by a competent authority, the remaining provisions shall continue to remain valid and enforceable.

Failure by Finyatra to enforce any provision at any particular time shall not constitute a permanent waiver of its right to enforce that provision later.

Relationship of Parties

Nothing contained in these Terms shall automatically create a partnership, joint venture, employment or agency relationship between Finyatra and a User, Retailer, Distributor or Merchant except to the extent specifically agreed under a separate written agreement.

No User shall represent that they have authority to legally bind Finyatra unless expressly authorised in writing.

Changes to Terms & Conditions

Finyatra may revise these Terms from time to time due to changes in Services, Partner requirements, technology, business requirements or applicable laws.

The revised Terms will be made available on the Website or Platform along with the updated effective date. Continued use of the Services following such changes will be governed by the revised Terms, subject to any separate consent requirement under applicable law.

Governing Law and Jurisdiction

These Terms & Conditions shall be governed by and construed in accordance with the applicable laws of India.

Subject to applicable statutory, regulatory and consumer protection requirements, disputes arising out of or relating to these Terms shall be subject to the jurisdiction of competent courts in Lucknow, Uttar Pradesh.

These Terms, together with Finyatra's Privacy Policy and other applicable Service-specific policies or agreements, constitute the terms governing the User's use of the Platform and Services.

By registering, accessing or continuing to use Finyatra's Platform and Services, you acknowledge that you have read, understood and agreed to these Terms & Conditions.
